Terms of Service

1. Acceptance of Terms

By accessing or using any product offered by TradersForge LLC, a Michigan limited liability company (“TradersForge,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

“Service” refers collectively to all software, websites, and tools offered by TradersForge LLC, including:

• TradersForge Journal— a web-based trading journal and analytics platform with trade import, manual entry, performance analytics, journaling, and optional broker synchronization, hosted at app.tradersforge.net.
• NinjaTrader 8 add-on tools— downloadable indicators, strategies, and utilities sold as one-time purchases for use inside the third-party NinjaTrader 8 desktop platform.

We may add, modify, or discontinue features or products at any time. Material changes affecting paid features will be communicated in advance.

3. Accounts

You must create an account to use most parts of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate, current information and promptly update it if it changes. You must be at least 18 years old to create an account.

4. Subscriptions and Payments

TradersForge Journal offers a free tier and paid subscription tiers (Pro and Elite), billed monthly or yearly. Paid subscriptions are processed through Stripe. Prices are listed on our pricing page and may be updated with at least 30 days' notice; existing subscribers will be notified by email before any price change takes effect.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time from your account's billing settings. Cancellations take effect at the end of the current billing period — you retain access through that date and are not refunded for unused time within a paid period.

New accounts may be eligible for a 14-day free trial of paid features. A valid payment method is required at trial sign-up; you will not be charged until the trial period ends. To avoid charges, cancel before the trial ends.

One-time purchases (such as NinjaTrader 8 tools) are non-refundable once delivered, except where required by law. Because these are downloadable digital goods that are usable immediately upon purchase, we do not offer refunds for change of mind.

5. Trial Abuse and Fraud Prevention

To prevent abuse of the free trial, we may store a non-reversible fingerprint of the payment card used at trial sign-up. If the same card is used to start trials on multiple accounts, the trial may be ended early and the account charged immediately for the chosen plan. We may also decline service or terminate accounts that we reasonably believe are using disposable email addresses, fraudulent payment methods, or other abuse patterns.

6. Not Financial Advice; Risk Disclosure

The Service is a record-keeping, analytics, and educational tool only. Nothing in the Service constitutes financial, investment, tax, or trading advice, and no content is a recommendation to buy, sell, or hold any security, derivative, or other instrument. You are solely responsible for your own trading decisions.

Trading futures, options, equities, and other financial instruments involves substantial risk and can result in the loss of all or more than your initial investment. Past performance — whether displayed inside the Service, in marketing materials, or shared by other users — is not indicative of future results. Hypothetical or simulated performance results have inherent limitations.

7. Broker Connections

When you connect a brokerage account, you authorize us to access your trade history in read-only mode via the broker's API or via SnapTrade as our broker-aggregator partner. We do not place orders, modify positions, or transfer funds. You may disconnect a broker at any time from Settings. We are not responsible for actions taken by, errors of, or downtime in third-party brokers or aggregators.

8. Your Data and Content

You retain ownership of all trade data, journal entries, playbook setups, and other content you create or import. We claim no intellectual property rights over your content. You grant us a limited, worldwide, royalty-free license to store, process, display, and back up your data solely to provide the Service to you. If you choose to share content publicly inside the Service (for example, through the Community / Playbook Sharing features), you grant other users the ability to view, copy, and import that shared content. 9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, scrape, or exploit the Service
• Share your account credentials or licenses with others
• Resell, sublicense, or redistribute downloadable tools without written permission
• Upload malicious files, code, or content
• Post content that is unlawful, harassing, defamatory, or that infringes third-party rights
• Interfere with the Service's operation or other users' access
• Use the Service to provide regulated investment advice to third parties without independent licensing

10. Third-Party Services

The Service relies on third-party providers including Stripe (payments), Supabase (database and authentication), Vercel (hosting), Resend (transactional email), Anthropic (AI features), SnapTrade and broker APIs (trade syncing), and others described in our Privacy Policy. NinjaTrader 8 is a separate desktop product owned by NinjaTrader, LLC; we are not affiliated with or endorsed by NinjaTrader, LLC. Use of these third parties is governed by their own terms.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that trade data synced from third-party brokers will be complete, current, or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, TradersForge LLC and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, trading losses, data, goodwill, or other intangibles arising from or related to your use of the Service, even if advised of the possibility of such damages.

Our aggregate liability for all claims arising from or related to the Service shall not exceed the greater of (a) the total amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless TradersForge LLCfrom any claim, damage, loss, or expense (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party right.

14. Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or abusive conduct. You may delete your account at any time from Settings. Upon termination, your data will be deleted in accordance with our Privacy Policy. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any dispute arising from or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
